    Of course, there are valid legal liability reasons for wanting to incorporate when considering running a business.

    While many law offices will certainly do all the incorporation for a fairly healthy fee, one can do the procedure without the law office.  This is a viable option for the small company with one or two directors.

    The first step one has to do, is decide if they desire a “numbered company” or a named corporation.  If the name is part of the business, a named corporation may be the way to go.  Or you may wish a very formal corporate name, and use a so-called “Trade Name” to which you are known in the marketplace.

    Named corporations require a name search, (a so-called NUANS search), with a private Alberta approved registry to ensure there are no similarly named Alberta corporations.

    After the name of the corporation is chosen, the process is to fill out documents describing the directors, shareholders, and the registered office.  As well, a very important document known as the Articles of Incorporation must be prepared.

    Once all these documents are filed at Corporate Registry, the government then assigns the new company a Certificate of Incorporation with a Corporate Access Number.

    The next step is the one where the legal field earns most of the cost of incorporating – it is to fill out and prepare a formal company affairs book known as a “Minute Book”.  The minute book is the permanent record of the corporate affairs of the company, and it should be complete, and always kept up to date.

    For large corporations, where there are complicated directors resolutions, multiple shareholder resolutions, agreements, various ways of raising authorized capital, etc., certainly a law office is probably the recommended way to do the formal corporate record.

    But many business’s today are simply one or two person companies, and for these sorts of operations, a trained para-legal service that knows how to put together a minute book, and knows what forms and documents to file, saves the entrepreneur much of that badly needed early cash flow!
